Better front speakers make a heck of a difference (a ski-hatch sub is a further refinement) and I'm tempted by the E46-specific Alpine iLX-705

Externally there's no difference - there are some subtle internal differences. If I recall correctly, it's the friction plate material. As Charles says, they can be rebuilt but it's best to find a ZF specialist that can do the machining, welding and balancing. I had mine rebuilt a couple of years ag...

Charles is spot-on - the oil ought be changed given the age and mileage, particularly because you have all of the parts and consumables. Be a pity to spoil the ship and all that!

Charles' advice is sound and could well resolve the problem which could be as simple as old oil - do make sure that they change the gearbox filter though! The parts catalogues show that it's the same base engine (US E36 M3 S52B32) and there's no different timing cover gasket listed so I'd say yes it is!
